It all depends on the frame, if it's all rusted to hell and not solid then it's not worth it or even 1/2 of the asking price, if the frame is solid even with a lot of surface rust then I would say it's not too bad of a deal, but even then I would offer less.
That all being said the rest of it needs to be checked out, maintenance records, tires, shocks, brakes, transmission, etc., also does it shift into and out of 4lo and 4hi properly, when was the timing belt done last, if it doesn't shift in and out of 4lo and 4hi it will cost as much as they're asking for it to fix that, if it's due for a new timing belt that's another $1000 to $1500 at a Toyota dealer to do, $750+ at least at an indie garage.
