staright swap as long as both either have or don't have an e-locker and both are the same gear ratio.

If you don't have ABS currently, but the donor has ABS, then you can use the ABS axles and housing, and just leave the ABS sensors in as plugs. IF the other way around, then to use the donor, you would have to leave the sensors hanging and disable your ABS.
You cannot mix the axles between ABS and non ABS.

It can but it takes a bit of work. There is alot of info on that out there, so search here and over on yotatech and you will find what you need to wire it up. there area couple different ways to wire it up, so you will need to decide which you want.
BTW, little tip on searching, use the google search bar in the upper right, it tends to find more stuff than the forum search function. it will search all sections though, so make sure once you click a link that you are looking at a thread in the 3rd gen section.

Besides the ABS and the axle ratio, the 97 is different from the 01. The 01 has dual circuit rear brakes for traction control while the 97 is a single circuit just using one brake line.
The swap is doable but the brake lines will have to switched over.
the elocker is totally worth the swap what ever the problems.
