If it's the same as on the '94s its (as your facing the windshield) on your right close to you, kind of a circular housing. After you locate it go around the outside and pop the metal clips off. It'll probably take one hand to hold the cover up while you take out the old filter and slip in a new one.
About the K&N - I asked my mechanic about it and his response was "I wouldn't do it." Supposedly you wouldn't really notice an increase in power or fuel economy although the 3.0s are so slow i'm still tempted to try it.

Hey, thanks for the info, i finally figured out where it was, and was having a hard time figuring out the easiest way to replace it. I did go ahead and put a k&n filter in. it was only 30 bucks compared to 7 or 8 for a cheap one, but at least i won't have to worry about replacing this one.
