Found a 2012 Limited 4x4 demo still on the lot here that has about 5500 miles on it loaded out with third row, nav, and power running boards. What do you think is a fair price?

Dealer has it listed online for MSRP, but he offered to sell for 40.9k. I think this still is high--probably a little under original invoice but no better. Any thoughts on a fair price and how to get him down there?

You could start by offering them a wholesale trade number which would be around $34-36k. So if you could buy it for probably the $37-38k range I would say that is fair. They have already depreciated the vehicle in their system so you can throw MSRP and invoice out the window. It's a used vehicle.
I had this issue when looking... The dealerships are looking to get near MSRP, due to the fact that the vehicle never sold... they are out the Invoice price... so they are still trying to make some coin.
Best bet if you really wanted that vehicle, go in tell them that even though its a DEMO vehicle... it is still classified as used due to the fact that it has been registered.
This would make them upset, as they are going to be loosing out.
Go in offer them what you think is fair, for a used vehicle with that mileage. if they say your crazy, just give them your number and tell them when they can be reasonable for the purchase of a used car... they will call..
It helps to be on the phone with a Nissan or Honda dealer when you walk out
(almost had to do this with mine, but for the price that they wanted for a used... i got a new for $4k more, with ~20 mi, with the options I wanted)

Doesn't seem bad but Canada is way more expenisve. Used 2012's in Calgary/Edmonton, Alberta are going for 46-48k with 20,000-30,000KM on them. 2012 demo's in New Brunswick, Quebec, and Ontaro w/ similar mileage to yours are all right around 43,000-44,000 OTD before tax.
I got mine for around 44,500 before tax and it has about 150 miles on it. Got them to throw in mud flaps and the 10 year guaranteed undercoating with included annual inspections/top-ups (good for where I live as salt is a killer). I also got more than market value for my Jeep that I traded in when you factor in tax savings + not having the hassle of selling privately- so you have to consider that as well. That probably gave me an extra $1,000 worth of value. The lowest I could get 6 of the dealers I contacted down to was $49,100 OTD before tax on a 2013. So, for me, I saved closed to $6,000 buying the left over.
